🧠 Cognition acquires Windsurf to double down on autonomous software engineering

Cognition AI just signed a definitive agreement to acquire Windsurf, the agentic IDE startup that nearly sold to OpenAI. The deal includes Windsurf’s product, IP, and full team, just days after Google licensed its tech in a $2.4B talent scoop. With this move, Cognition accelerates its Devin roadmap while absorbing one of its closest rivals.

The Shift:

1. Full-stack acquisition of IP, brand, and revenue -  The deal includes Windsurf’s IDE product, trademark, IP rights, $82M in ARR, and over $100M in capital access. Cognition also inherits 350+ enterprise customers and hundreds of thousands of daily users. The IDE will continue to operate independently in the short term.

2. Employee-first structure with full equity recognition - All Windsurf employees will financially participate in the acquisition and receive accelerated equity vesting. Those without prior equity will get stock based on tenure.
